 Luncheon Speakers

Ward W. Nelson has 22 years of experience in the areas of business and health care law with an emphasis on mergers and acquisitions, corporate finance and contracts. He represents a public soft drink bottling company in connection with domestic and international bank financings and the acquisition of soft drink beverage bottlers. He also represents a regional nonprofit hospital and numerous physician groups with respect to ongoing operations, regulatory compliance and health care contracts. Nelson also frequently counsels clients on choice of entity issues and general corporate and contract matters.



J. Patrick Murphy regularly represents finance companies, banks, lending institutions, investment funds and individual investors throughout the Southeast. He has closed several hundred million dollar subordinate debt/mezzanine financing transactions with the size of the investments ranging from $500,000 to $20 million. The investments have included senior loans, subordinate loans, debt with warrants, preferred stock and common stock. The transactions have involved businesses from various parts of the country with the most significant portion located in the Southeast and Mid- Atlantic regions of the country. He generally represents investors and lenders; however, he also represents borrowers and companies seeking growth capital. In addition, Murphy has represented companies in connection with private placements of securities and other capital raising transactions. Murphy's practice also includes representing regional and local banks for commercial lending transactions, and several privately owned and family owned companies for general business and planning matters.
 

President’s Message

Chapter Members,

As CPAs, we have a lot to offer above and beyond financial reports and tax returns. Our news media report daily the disastrous results of poor financial decisions on the part of both individuals and institutions. Poor decisions may be caused by ignorance, greed or a combination of the two.

CPAs are in a unique position to offer assistance, both as individuals and in our professional capacities. As individuals, we often influence those around us, just by our personal financial practices, or by offering sound advice when asked. In our professional capacities we often provide the analysis necessary for sound financial decisions. We also help to devise controls to thwart those who exploit institutions for personal gain.

Our national organization, AICPA, combats ignorance through its “Feed the Pig” public relations initiative, which is a part of its 360 Degrees of Financial Literacy Program (www.360financialliteracy.org). This Web site offers practical budget and financial tips to individuals. It covers various cycles of life such as college, getting married, having children and even how to teach children about finances.

While personal budgeting and financial responsibility are not directly linked to the technical aspects of our profession, these public initiatives reflect our values. Certified public accountants employ certain processes and practices in financial decision making that can be useful to everyone. A few that I can think of are:

• We gather information before we make a decision.
• We test information before we rely on it.
• We have realistic expectations for future events.
• We make reasonable provision for unforeseen events.

I encourage you to disseminate this not-so-common “CPA sense” to your own family, workplace and others that you may have opportunity to influence.

TSCPA Scholarship Applications Now Available

The Tennessee Society of Certified Public Accountants is pleased to announce the availability of scholarships to students who have completed introductory courses in accounting and/or students majoring in accounting. Last year, the society awarded 139 scholarships totaling $135,000. To be eligible, students must be U.S. citizens, legal residents of Tennessee and attending a Tennessee school full time.

The 2008 scholarship application is now available on the TSCPA Web site
