Tennessee Tax developments (passed and unpassed) with respect to LLCs as well as selected federal tax developments will be covered:
- Gains from sales of property by an affiliate not subject to taxation if the property was owned by an entity in prior 12 months that was subject to F&E tax and the prior entity ceased to exist. Also August 2008 Notice on subject;
- Exception for certain entities that are engaged solely in the asset-backed securitization of debt instruments;
- Diversified Investing Funds modifications;
- FONCE developments; and
- 2007 and 2008 Rulings of interest.
The presentation will include a discussion of the Series LLC and the probable tax treatment of the Series LLC as well as select business pluses and minuses of the structure.
Practitioners dealing with limited liability companies and limited partnerships doing business in Tennessee should attend to be informed of the latest Tennessee developments as well as to become familiar with recent developments concerning Series LLC.

Everyone is talking about “Change,” and although very little has changed in Tennessee’s gift and inheritance tax front recently, there are some strong signals out there suggesting significant amendments in Tennessee’s wealth transfer laws may be coming soon. This session will address current gift and inheritance tax issues and include a bit of prognostication (and song) as well!

Enroll soon because space is limited. Register by Oct. 18 to pay the discounted registration fee. Registrations must be received seven days prior to the event in order to guarantee a seat and course materials. Allow approximately one week for receipt of confirmation.
Cancellations and Substitutions: Cancellations received by Oct. 4 will be assessed a $30 administrative fee. Cancellations received between Oct. 19 and Nov. 1 will be subject to a cancellation fee of 50 percent of the program fee. No refunds are given on or after the date of the program. A $30 administrative fee will be assessed for all substitutions and transfers. Registrants may substitute another individual up to the day before the conference. TSCPA must be notified in advance to ensure proper CPE and CLE credit.
Conference Fee Includes: sessions, conference materials, continental breakfast, lunch and refreshment breaks.
Suggested Dress: business casual.
