6. Business Succession Planning - Part "Art," Part "Science"
James M. McCarten, Attorney,
White & Reasor, PLC,
Nashville, Tenn.
Working with closely-held businesses often means assisting the owner(s) in succession planning. As all professionals
are aware, successful succession planning requires not only a knowledge of the income and transfer tax rules which
apply to transactions between and among business owners and their family, but also the "soft" science, some would say
the "art" of helping the client objectively review whether his family is capable of running the business, how to equalize
gifts and bequests to children, how to meet the client’s charitable goals, maneuvering through family jealousies and
how to protect the client’s spouse. Sometimes, the engagement requires skills associated with helping the client think
"outside the box" and consider whether a key employee or even an outside buyer might better meet family goals.
Successful succession planning includes helping the business owner maximize his and his family’s financial and
psychological returns. It also requires an awareness of how and when to transfer effective control of the business,
followed later by a transfer of legal control. Planning for contingencies is, of course, part of the process. This program
will review some of the art and the science of working with clients on business succession plans. |
