Description

In this session, M&A Fireside Chat, we will discuss ways in which the CPA/valuation professional is uniquely positioned to serve as a financial advisor during M&A transactions. Tom and Jarrod both came to sell-side advisory through a valuation background and will discuss how valuation education and experience has proved to be invaluable when advising clients on M&A transactions. Tom and Jarrod will also give participants a brief market update on the state of mergers and acquisitions in late 2025, along with what is expected going forward. They will also discuss regulatory rules and the processes around acting as the advisor in a sell-side and working on an success fee basis. Attendees will walk away from the session with a greater appreciation for the opportunities in M&A that are out there for valuation professionals, and how to use their education and experience to assist clients in ways unique to valuation professionals.

Jarrod R. Barraza, CFA, ASA, ABV, CVA

Jarrod serves as a senior manager in HORNE's valuation and transaction advisory group, focusing on the healthcare industry. He is skilled in complex transactions and delivering tailored solutions to meet the needs of his clients such as hospitals, dentists, physician practices, pharmacies, and investor groups.

As an expert in healthcare valuation, Jarrod uses a data-driven approach, incorporating factors such as market trends, reimbursement rates and operational performance to ensure accuracy and reliability.

He also represents business owners, strategic corporate buyers and private equity investors to advise and manage the sale and purchase process for transacting parties. Jarrod brings his valuation background to the M&A process while advise clients on the financial aspects of a transaction.

Jarrod earned a Bachelor of Science in Music and Master of Science in Finance/Risk Management from the University of Colorado at Denver. He is a CFA charterholder, Accredited in Business Valuation, an Accredited Senior Appraiser (Business Valuation) and a Certified Valuation Analyst.

John T. Decosimo, CPA (inactive), ABV, ASA

Tom is the founder and Managing Principal of Decosimo Corporate Finance (DCF) a broker/dealer, member FINRA/SIPC. Under Tom's leadership, DCF has been the lead advisor in the dispositions of over 75 companies whose combined enterprise value exceeds $3 billion. He has spent over 40 years providing corporate finance services to a wide variety of businesses.

DCF’s proven success in providing sell-side advisory services has attracted the attention of both regional CPA firms and independent investment bankers. Today DCF has as affiliates regional CPA firms and independent investment bankers in Dallas, Houston, Mississippi, Tennessee, Georgia, New York, New Jersey and Wisconsin.

Tom is a strong believer that the right kind of CPA is a natural for leading clients in the most important business decision an owner will ever make - that of selling their business. Tom believes the skills of the CPA firm and its partners that have valuation expertise and process a strong entrepreneurial spirit combined with audit, tax, and due diligence/quality of earning experience are the best to lead the sell-side process.

Mr. Decosimo's investment banking experience began when he assisted in the roll up of the Coca-Cola and Seven-Up bottling franchises. That work included the valuation of targets, due diligence, and assistance in arranging the acquisition debt and equity financing. His extensive buy-side advisory led to his involvement in numerous sell-side assignments of companies across a wide variety of industries throughout the United States. Industry experience includes light and heavy industrial manufacturing, textiles, floor covering, consumer products, food processing, broadcasting, and distribution.

Tom's litigation experience includes providing valuation services to the Coca-Cola Company in the diet Coke lawsuit in which Tom valued over 35 independent Coca-Cola Companies at three different points in time, a total of 105 valuations. Tom gave expert testimony in the United States Tax Court in 2007 on issues related to valuation and discounts for lack of control and lack of marketability. Preparation for that testimony lasted three years.

It was after being engaged in the 1988 diet Coke lawsuit that Tom questioned if there was any formal valuation methodologies that he should be following which let him to purchase the book Valuing a Business by Shannon Pratt, originally published in 1981. After reading the book Tom discovered there was actually a valuation designation one could earn - the Accredited Senior Appraiser (ASA) through the American Society of Appraisers. Three years later Tom was awarded the ASA and soon after became one of Tennessee's first to earn the ABV. Something Tom questioned at ASA and ABV conferences was why valuation professionals work so hard to earn credentials and then charge so little to perform valuations. That question was never answered so Tom decided to use his valuation work primarily for sell-side advisory.

He graduated with honors from the University of Tennessee with a Bachelor of Science degree in Business Administration (Accounting). Mr. Decosimo is a CPA (inactive) and earned the American Institute of CPAs designation of Accredited in Business Valuation (ABV). Mr. Decosimo is also an Accredited Senior Appraiser in business valuation (ASA), the credential of the American Society of Appraisers.
